Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Vidova ("Vidova", "we", "us"). If you use Vidova on behalf of a company or other organization, you confirm you are authorized to accept these Terms for it, and "you" includes that organization.

If you do not agree to these Terms, do not use the service. Our Privacy Policy explains how we handle personal data and forms part of these Terms.

Vidova is an all-in-one AI creative platform that lets you generate and edit video, images, voice, music, sound effects and avatars using a range of first- and third-party AI models, and assemble them in an online editor.

Features, models, output limits and pricing may change as the technology evolves. We may add, modify or retire models or features at any time; where a change materially reduces a paid feature you rely on, we will give reasonable notice.

You must be at least 18 years old (or the age of majority where you live) to use the service. You must provide accurate information and keep it up to date.

You are responsible for everything that happens under your account and for keeping your credentials secure. Tell us immediately at the support address below if you suspect unauthorized access.

One person may not maintain multiple free accounts to obtain additional free credits. We may merge or close duplicate accounts.

Paid plans are billed in advance, monthly or yearly, through our payment processor. Subscriptions renew automatically at the then-current price until you cancel.

You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period and you keep access until then. Upgrades take effect immediately; downgrades take effect at the next renewal.

Prices exclude taxes unless stated. You authorize us and our processor to charge your payment method for all fees and applicable taxes. If a payment fails we may retry it, pause paid features, or downgrade your account.

Generations consume credits. The credit price of each generation is shown before you run it and depends on the model and settings you choose.

• Credits have no cash value, are not legal tender, and cannot be transferred, sold or exchanged for money.
• Credits included with a subscription are granted each billing month and do not roll over unless your plan says otherwise.
• Purchased top-up credits remain valid for 12 months from purchase while your account is in good standing.
• Credits are forfeited when an account is closed or terminated for breach of these Terms.

Credits are non-refundable. The only exception: if a generation fails for a technical reason on our side or our provider's (for example the model errors or times out), the credits for that generation are automatically returned to your balance.

A result you dislike, a prompt that did not produce what you expected, or content blocked by safety filters because of your input is not a failed generation.

Except where required by law, subscription fees and credit purchases are non-refundable, including for partially used periods or unused credits.

If you believe you were charged in error, contact us within 30 days of the charge and we will review it in good faith. Consumer rights in your country that cannot be waived by contract are not affected.

"Inputs" are the prompts, images, audio, video and other material you provide. "Outputs" are what the service generates for you. Together they are "Your Content".

As between you and Vidova, you retain all rights in your Inputs and, to the extent permitted by law and the terms of the underlying model, we assign to you any rights we have in your Outputs. You may use Outputs for personal and commercial purposes, subject to these Terms and any plan limits (for example, watermarking on the free plan).

You grant Vidova a worldwide, non-exclusive, royalty-free license to host, store, process, transmit and display Your Content only as needed to operate, secure and improve the service for you, including sending it to the AI providers that fulfil your request. We do not use Your Content to train our own foundation models, and we do not publish it without your permission.

You are responsible for Your Content and confirm you have all rights needed to provide your Inputs — including rights from any person whose likeness or voice appears in them.

AI output is produced by machine-learning models and has important limitations. You acknowledge that:

• Outputs may be inaccurate, incomplete, biased, offensive or unexpected, and may resemble existing works or content generated for other users. Outputs are not unique to you.
• Copyright and other protection for AI-generated material varies by country and may be limited or unavailable.
• You must review Outputs before relying on or publishing them, and you are responsible for how you use them, including compliance with advertising, platform and disclosure rules.
• Where required by law or platform policy, you will clearly disclose that content is AI-generated, and you will not remove provenance signals (such as watermarks or content credentials) that we or providers apply.

Nothing generated by the service constitutes professional (legal, medical, financial or other) advice.

You may not use the service — directly or through any Output — to create, upload or distribute content, or engage in conduct, that:

• sexualizes minors in any way, or depicts sexual content involving real, identifiable people without their consent;
• impersonates a real person, or creates deceptive deepfakes of real people (including public figures) intended to mislead, defame, harass or defraud;
• clones or imitates someone's voice or likeness without their documented permission;
• promotes violence, terrorism, self-harm, or hatred against people based on protected characteristics;
• constitutes harassment, bullying, doxxing or targeted abuse;
• is intended to deceive voters or interfere with elections or civic processes;
• infringes intellectual-property, privacy or publicity rights of others;
• facilitates illegal activity, including fraud, scams, malware, or the creation of weapons;
• circumvents safety filters, rate limits, credit metering, watermarking or other technical protections;
• resells, sublicenses or provides the service to third parties as an API or competing product without our written agreement, or scrapes or reverse-engineers it;
• violates the usage policies of the underlying model providers.

We use automated and human review to enforce these rules. We may block prompts, remove content, withhold outputs, and report illegal content to the appropriate authorities.

Many models available in Vidova are operated by third parties (for example, video, image and audio model providers, and our inference infrastructure partners). Their availability, quality and speed are outside our full control, and their own usage policies also apply to your requests.

Links to third-party websites or integrations are provided for convenience; we are not responsible for their content or practices.

The service — including our software, interface, design, templates, brand, logos and documentation — is owned by Vidova and its licensors and protected by law. Except for the limited right to use the service under these Terms, no rights are granted to you.

If you send us feedback or suggestions, we may use them without obligation to you.

We respect intellectual property. If you believe content on Vidova infringes your copyright, send a notice to legal@vidova.ai identifying the work, the allegedly infringing material and where it is located, your contact details, a statement of good-faith belief, and a statement under penalty of perjury that the notice is accurate and you are authorized to act. We will respond to valid notices and terminate repeat infringers where appropriate.

You may stop using the service and delete your account at any time.

We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure for us or others, fail to pay, or if required by law. Where reasonable we will tell you why and give you a chance to export your content, except in cases of serious abuse.

Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability and indemnity) will survive.

The service and all Outputs are provided "as is" and "as available". To the fullest extent permitted by law, Vidova disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the service will be uninterrupted, error-free or secure, or that Outputs will be accurate or meet your needs.

To the fullest extent permitted by law, Vidova and its affiliates, officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or related to the service.

Our total liability for all claims relating to the service is limited to the greater of (a) the amounts you paid us in the 12 months before the event giving rise to the claim, or (b) USD 100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You will defend, indemnify and hold harmless Vidova and its affiliates from third-party claims, damages and costs (including reasonable legal fees) arising from Your Content, your use of Outputs, or your breach of these Terms or of law.

We may update these Terms from time to time. If a change is material, we will notify you by email or in the product at least 14 days before it takes effect. Continuing to use the service after the effective date means you accept the updated Terms.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. Courts located there have exclusive jurisdiction, except that either party may seek injunctive relief anywhere, and consumers keep any mandatory right to bring claims in their home courts.

Before filing a claim, you agree to contact us and try to resolve the dispute informally for at least 30 days.

These Terms are the entire agreement between you and us about the service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.

If these Terms are translated, the English version prevails in case of conflict.
